General Terms and Conditions

These General Terms and Conditions apply to all offers, quotations, orders, agreements, and deliveries of services by Makelij Van Hecke (hereinafter "Makelij Van Hecke" or "we") to companies (hereinafter "Customer").

By engaging the services of Makelij Van Hecke, the Customer agrees to these General Terms and Conditions.

1. Definitions

Customer: the legal entity entering into an agreement with Makelij Van Hecke.
Agreement: every agreement between Makelij Van Hecke and the Customer.
Services: all technological services offered by Makelij Van Hecke (software, prototypes, CNC, etc.).

2. Applicability

2.1 These conditions apply to all deliveries of services by Makelij Van Hecke, to the exclusion of any other conditions of the Customer.
2.2 Deviations are only valid if agreed upon in writing.

3. Quotations and Agreements

3.1 All quotations are without obligation. A quotation is valid for the period indicated.
3.2 An agreement is concluded by written acceptance or order confirmation.

4. Performance of Services

4.1 Makelij Van Hecke will perform the services to the best of its knowledge and ability.
4.2 The Customer is responsible for the timely provision of necessary information.

5. Prices and Payment

5.1 Prices are exclusive of VAT.
5.2 Payment within the stated period.
5.3 In case of late payment, the statutory commercial interest is due.

6. Intellectual Property Rights

6.1 All rights to developed software, designs, and materials remain the property of Makelij Van Hecke.
6.2 The Customer obtains a non-exclusive license for the agreed purpose.

7. Liability

7.1 Limited to the amount of the relevant agreement.
7.2 No liability for indirect damage to the customer.

8. Force Majeure

In case of unforeseen circumstances beyond control, Makelij Van Hecke is not bound to fulfill its obligations.

9. Confidentiality

Both parties are obliged to maintain the confidentiality of all confidential information.

10. Applicable Law and Disputes

Belgian law applies. Disputes will be submitted to the competent court in Ghent.
